A digital security is a regulated financial instrument whose ownership and transfer are recorded on distributed ledger technology. The word that matters most in that sentence is "regulated."
Anatomy
The three layers of a digital security
- The legal layer. Conventional documentation — charters, operating agreements, subscription agreements, offering documents — defines the rights the token represents. This layer is unchanged from traditional securities and is where investor protection lives.
- The regulatory layer. The offering proceeds under an established U.S. framework: Regulation D, Regulation S, Regulation A+, or full registration. Transfer-agent, custody, and trading functions sit with registered and licensed providers.
- The technology layer. Token standards on established ledgers implement the rules of the first two layers in code: eligibility gates, transfer restrictions, holder registries, and corporate-action mechanics.
Confusion in the market almost always comes from projects that built the third layer without the first two. Our practice exists on the opposite premise: law and regulation first, technology as the implementation.

What issuers must have in place
The prerequisites for a credible digital security offering are the same as for any credible offering: a clean issuing entity; accurate, audited financial information where required; honest disclosure; governance appropriate to the raise; and licensed providers for every regulated function.
